1. Acceptance of Terms

By accessing or using Direct Sale AI's services (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Direct Sale AI provides an AI-powered sales assistant platform that integrates with messaging platforms (including Instagram, WhatsApp, Facebook Messenger, and Telegram) to automate customer conversations and support sales processes on behalf of businesses.

3. Account Registration

To use our Service, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years old or have legal authority to enter into contracts
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account

4. Acceptable Use

You agree not to use our Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited messages, or deceptive content
  • Harass, abuse, or harm others
  • Distribute malware, malicious content, or phishing attempts
  • Attempt to gain unauthorized access to our systems or other users' data
  • Interfere with the proper functioning of our Service
  • Violate the terms of any connected third-party platform (Meta, Telegram, etc.)

5. Third-Party Platform Compliance

When using our Service with third-party platforms, you must also comply with their respective terms:

You are responsible for ensuring that your use of the AI assistant complies with the messaging policies of each connected platform.

6. Subscription and Payments

  • Subscriptions are billed in advance on a monthly or annual basis
  • You can cancel your subscription at any time
  • Refunds are provided as specified in our refund policy
  • Prices are subject to change with 30 days notice
  • Failed payments may result in service suspension
  • You are responsible for all applicable taxes

7. Intellectual Property

All content, features, and functionality of our Service are owned by Direct Sale AI and are protected by international copyright, trademark, and other intellectual property laws.

8. Your Content

You retain ownership of any content you upload to our platform (product catalogs, images, etc.). By uploading content, you grant us a limited license to use it solely to provide our Service. This license terminates when you delete your content or close your account.

9. AI-Generated Content & Human Escalation

Our AI generates responses based on your product information and configuration. While we strive for accuracy, you are responsible for reviewing and ensuring the accuracy of AI-generated content. Direct Sale AI is not liable for any inaccurate, misleading, or inappropriate AI-generated responses.

Customers may request to speak with a human agent at any time during a conversation. When a human handoff is triggered, the AI will stop responding and the business owner will be notified via their configured notification channels (email and/or Telegram). The business owner is responsible for responding to the customer through the original messaging platform.

10. Data Handling

Our handling of data is governed by our Privacy Policy. Key points:

  • Customer conversation data is not permanently stored (temporary debug logs retained for max 24 hours)
  • We do not use conversation data to train AI models
  • All credentials are encrypted using AES-256-GCM
  • You can disconnect platforms and request data deletion at any time

11. Service Availability

We aim for high uptime but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We are not liable for downtime caused by third-party platform outages (Meta, Telegram, etc.).

12. Limitation of Liability

To the maximum extent permitted by law, Direct Sale AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

13. Termination

We may terminate or suspend your account for violation of these terms. You may close your account at any time. Upon termination:

  • Your right to use our Service will immediately cease
  • We will delete your data as described in our Privacy Policy
  • All connected platform integrations will be disconnected

14. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes through our platform or via email. Continued use of the Service after changes constitutes acceptance of the updated terms.

15. Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflicts of law principles.
